Can a foreign national own 100% of a Pakistani company?

Yes. Under Pakistan's current investment policy, foreign nationals and foreign corporate entities can hold up to 100% equity in almost all sectors (excluding a few restricted industries like defense or media). They can easily repatriate their capital and profits.

What is the difference between Authorized and Paid-up Capital?

Authorized Capital is the maximum amount of share capital a company is legally permitted to issue to shareholders, as defined in its MOA. Paid-up Capital is the actual amount of money shareholders have currently deposited into the company's bank account for their shares.

What are Forms 29 and Form A?

These are mandatory statutory filings. Form A is an Annual Return that updates the SECP on the company's capital, shareholders, and operating address. Form 29 is filed whenever there is a change in the company’s officers (Directors, CEO, Auditors, or Chief Accountant). Failure to file these leads to severe SECP penalties.
